General conditions of subscription and use Shiftmeapp

These General Conditions apply to the use of the website and the ShiftmeApp Application or any products & services sold by SHIFTMEAPP SA.

In order to register via the website or the Application, all Users must, after having read these conditions, check the box on the registration form stating « By checking this box you recognize to have acquainted with the General Conditions of Subscription and Use and declare to accept them without any reserve ». Registration on the website or the Application implies recognition and full acceptance by the User of the present General Conditions.

Article 1. Scope of application – Purpose

The General Conditions of Subscription and Use detailed below govern the contractual relations between any user of the website or of the ShiftmeApp Application and the private unlimited company under Belgian law Shiftmeapp, whose registered office is Avenue Bourgmestre Jean Herinckx 12 box 15 at 1180 Brussels Belgium – – and registered at the Banque Carrefour des Entreprises under the number 0641.830.489 – RPM Brussels – and are intended to define the conditions of access and use of the Services offered by Shiftmeapp.

Article 2. Definitions

The terms used in these General Conditions and beginning with a capital letter shall have the meaning given to them below:

« Subscription »: fee-paying plan providing access to ShiftmeApp Services over a limited period of maximum 12 months which may be tacitly renewed for an equivalent period of time.
« Application »: application and computer access to ShiftmeApp aiming to facilitate human resource planning within a company or organization.
« General Conditions »: this document which describes the general conditions of subscription and use of the Services offered by Shiftmeapp.
« Paid Services »: all of the paid services offered to Employers.
« Free Services »: all of the free services offered to Users.
« Services »: all the free and paid services offered to Users.
« Shiftmeapp »: private limited company under Belgian law having its registered office is Avenue Bourgmestre Jean Herinckx 12 box 15 at 1180 Brussels Belgium.
« Employer »: company or organization that uses Paying Services for the purpose of its business.
« Supervisor(s) »: natural person(s) having the authority to contractually engage an Employer in the Pay Services and having the right to invite Managers, Users, Workers or External Workers to join the Shiftmeapp network of this Employer.
« Manager(s) »: natural person(s) designated by a Supervisor who is empowered to engage the Employer in all or part of the Paid Services.
« Worker »: natural person, user of the Free Services, invited by his/her Employer, the Supervisor of that Employer or one of his/her Managers, and who has adhered to the General Conditions.
« External Worker »: natural person not directly related to an Employer, user, without subscription fees, of the Free Services and who has adhered to the General Conditions.
« Community »: group of natural and legal persons constituted by the Employers, Supervisors, Managers, Workers and External Workers forming the group of the adhering members to the Application.
« User »: any natural person whatever its definition (Supervisor, Manager, Worker, External Worker) using the Services.


Article 3. Content and Functions of ShiftmeApp

ShiftmeApp is an IT application for computer, tablet and smartphone designed to facilitate companies’ management of schedules and recruitment.

This is a SaaS – « Software as a Service » – which means that it is made available remotely by a provider and is accessible via a web browser or a mobile application.

The Application runs mostly in real-time, on the cloud and on any device supporting versions provided by Shiftmeapp and available through virtual stores such as the Apple Store or Google Play or directly from

ShiftmeApp is a staff planning algorithm that calculates, monitors, improves, informs, adapts and proposes solutions for employees’ work schedules, taking into account, to the extent possible, the constraints present.

With a view to easily fix staff planning problems, Shiftmeapp offers Managers and Supervisors semi-automated arrangements or alternatives and work-time solutions, has various auxiliary functionalities developed as well as a « recruitment » warning system developed in the event of an insurmountable problem in the management of the planning due to a lack of available employees. In the latter case, the Application proposes to the Manager or Supervisor, for the displayed price, CVs of External Workers.

The Application also allows workers to optimally plan their work schedules and be continuously available.

The messaging feature allows Managers and Workers to stay in constant contact.

Shiftmeapp does not interfere in the contractual, legal or financial relations between Users and Employers.


Article 4. Access and Use of the Services

In order to access the Services, the User must register on and/or download the Application.

The User agrees to use the Application in accordance with these General Conditions and guarantees the veracity and accuracy of the information he/she provides.

Shiftmeapp reserves the right to refuse or cancel any Subscription request in the event of a breach of the General Conditions, inaccurate information provided by an Employer or a User or in the event of a dispute relating to the payment of a previous Subscription.

The Services are mainly available in French and English.


Article 5. Liability of the User

The User undertakes to provide accurate, complete and sincere information upon registration. In this regard, the User undertakes to promptly notify Shiftmeapp of any change in the data provided.

Since the Application is subject to the provision of a password and an identifier, it is the User’s responsibility to keep this information secret.

The User agrees to make use of the Services with due care and attention and, in any case, in accordance with the legal and regulatory provisions in force in his/her country.


Article 6. Guarantees

6.1. Operation of the Application

Shiftmeapp shall endeavor to implement all means necessary to ensure the smooth running of the Application and shall, in particular, take the necessary measures to maintain the continuity and quality of the Services offered.


6.2. Service Security

Certain security risks may arise in connection with the use of the Services. Shiftmeapp cannot guarantee the User against any inappropriate form of the network but endeavors to limit these risks. In particular, Shiftmeapp takes all necessary measures to respond to an incident related to security or integrity or in case of threats that it may have detected.


Article 7. Limitation of liability

7.1. Exclusion of liability related to the operation of the Services

Shiftmeapp cannot be held liable for any direct or indirect damage suffered as a result of any disruption or interruption of the Services as well as for the consequences that may arise for the User or for third parties.

Shiftmeapp declines all responsibility in the event of (non-exhaustive list):

–          Indirect damages and indirect losses, loss of earnings, loss of profits, loss or alteration of data due to the use of the Internet ;

–          Total or partial dysfunction of the Services due to force majeure ;

–          Disruption and /or total or partial unavailability and /or interruption of all or part of the Services offered ;

–          Material damage that may affect the User’s equipment (smartphone, computer, tablet), the latter having to take all necessary measures to safeguard and protect them, in particular with regard to any computer virus ;

–          Problem with the servers managed by Amazon Web Services (loss of data, leaks, destruction, etc.) ;

–          Problem of communication or organization between Supervisors, Manager, Worker and/or External Workers.


7.2. Exclusion of liability related to the use of the Services

Shiftmeapp is not liable for any direct or indirect damage caused to the User or the Employer due to the use of the Application or the impossibility of using it, for whatever reason.

Shiftmeapp is in no way responsible for (non-exhaustive list):

–          Indirect damage an indirect losses, loss of earnings, loss of profits, loss or alteration of data due to the functionality of the Application and more generally the provision of the Services ;

–          Misuse of the Services by the User ;

–          Delays resulting from causes falling under the responsibility of the User (in particular: time limits for decision-making, validation period, request for modification, etc.) ;

–          Content of the messages and communications exchanged in the dialogue space (mail box) set up by the Application ;

–          In the event that the schedule generated and proposed by the Application does not correspond to the needs of the User ;

–          In the event that an employee or worker does not show up when he has undertaken to do so ;

–          Communication or organizational problems between Supervisors, Managers, Workers and /or External Workers.

In any case, the User and the Employer will have no recourse against Shiftmeapp in the event of conflict between Users or between Users and Employers.


Article 8. Subscription – Rates

8.1. Employer

Use of Paid Services involves subscription to a Prepaid Subscription by the Employer.

The Subscription price is mentioned in the Application and is subject to change at any time by Shiftmeapp.

The amount of the Subscription is billed and prepaid online via the Application, for the selected period, by the Employer including an automatic renewal on the anniversary date of Subscription without prejudice to the right of the Employer to waive the renewal via the Application, at least 30 days before the anniversary date of the Subscription.

Invoices are issued electronically and are accessible under the Supervisor’s administration tab.

The Company or the Supervisor may at any time of its subscription, increase its number of bundle of users for a new duration equivalent to its Subscription.

The Company or the Supervisor may, at the anniversary date of its renewal, reduce the number of bundle of users for a new term of its Subscription.


8.2. Users

The use of the Application is completely free for Users who do not have to subscribe to any Subscription but simply to fill in the data necessary for any registration.


Article 9. Duration

9.1. Employers

The Subscription is always concluded for a fixed period of maximum 12 months renewable by tacit renewal.

If the Employer does not terminate his Subscription via the Application no later than 30 days before the anniversary of the subscription or renewal, his Subscription will be automatically and tacitly extended for a period equivalent to the initial term.

The affiliation shall continue on the conditions known to the Employer, including any updating of rates.


9.2. Users

The User may, at any time, unsubscribe from the Application without conditions or specific reasons, at his/her own risk in relation to his relationship with the Employer, the Supervisor and the Managers.


Article 10. Termination – Suspension

10.1. Termination or Suspension of Services by Shiftmeapp

Subscription and use of the Services may be suspended or terminated by Shiftmeapp upon notification under the conditions set forth below in the event of:

–          failure to pay by the Employer ;

–          established fraud ;

–          non-conforming use of the Services with the General Conditions or the legislation or regulations in force ;

–          non-performance (total or partial) of the obligations of the General Conditions ;

–          bankruptcy, controlled management, decision to liquidate or dissolve the Employer, suspension of payment procedure or proceedings under national or foreign law of similar or equivalent nature or effect ;

Prior to any suspension or termination of the Services, Shiftmeapp shall, as far as possible, notify the Employer or the User concerned of the reason for suspension or termination by e-mail, enabling them, if possible, to remedy the situation within a period that shall not exceed seven [7] calendar days from receipt of the notification. If deficiencies are not remedied within the required period of time or if no remediation is possible, Shiftmeapp may terminate the Subscription without notice or indemnity.


10.2. Termination by the Employer

The Subscription may be terminated at any time via the Application by the Supervisor after its entry into force, without compensation or cause.

The termination is automatically effective on the following anniversary date of the subscription or renewal, without reimbursement of the unused duration.


10.3. Data retention

In case of application of Articles 10.1 and /or 10.2 of the General Conditions, all data relating to the Employer shall be retained by Shiftmeapp for a period of ten [10] years.


Article 11. Intellectual property

The « Shiftmeapp » trademark, the ShiftmeApp Application and all elements present on Shiftmeapp are protected by copyright, trademark law and/or other intellectual property rights.

The entire Application is the exclusive property of Shiftmeapp. This includes, but is not limited to, the « Shiftmeapp » trademark and its derivatives, logos, graphics, layout, information, presentation and content of the Application. These elements belong to the company Shiftmeapp or are used with the agreement of their owners.

Any reproduction, representation, use, adaptation, modification, incorporation, translation, commercialization, partial or complete, by any means and on any medium (paper, digital …) of all or part of the Application and/or of the elements composing the Application is strictly prohibited, except prior written authorization of Shiftmeapp.

Any copy or reproduction of the elements of the Application without prior written authorization of Shiftmeapp is liable to constitute an offense of counterfeiting within the meaning of book XI of the Belgian Economic Law Code and/or an act of unfair or parasitic competition which can engage the civil and/or penal liability for its author.


Article 12. Personal data

12.1. Data collection

The personal data collected are communicated by the Employer when subscribing to a Subscription or by the Users when registering on the Shiftmeapp platform.

In this respect, the Employer, who is alone empowered to inform the personal data of his Workers, undertakes to obtain their prior consent. In no event shall Shiftmeapp be responsible for any communication of personal data by the Employer without the authorization of the Workers.

Workers, who have a personal account, retain the right to consult and modify all their personal data (Article 12.7 below).


12.2. Conditions of treatment

Shiftmeapp undertakes to process this data in compliance with the Belgian and European legal and regulatory requirements and, in particular, for natural persons, with the provisions of the law of 8 December 1992 on the protection of privacy in relation to the processing of personal data.


12.3. Controller

The person responsible for the processing of personal data is Shiftmeapp and the processing of personal data of Users has been declared to the responsible authorities.


12.4. Purposes of the treatment

The personal data of the Users is stored in the databases of the cloud provider of Shiftmeapp and processed for:

–          provide, market or improve the proposed Services;

–          for the management of the client file;

–          conducting market research and data analysis;

–          inform the Employer and the User of the existence of new services;

–          as well as in the implementation of promotional and information campaigns and for direct marketing purposes.


12.5. Communication of data to third parties

Shiftmeapp may make certain personal data available to partners, service providers, subcontractors or agents, who work with Shiftmeapp to provide the Services.

Unless otherwise objected to at the time of registration, Shiftmeapp may also disclose User data to third parties for direct marketing purposes.

When Shiftmeapp shares personal data with third parties, Shiftmeapp requires that third parties undertake to protect the data.

In addition, Shiftmeapp may have to disclose personal data in implementation of a law within the context of legal proceedings or an investigation by the public authorities.

The personal data of the Users are never processed by an institution or company established outside the European Union.

The User may, in accordance with article 12.7., at any time and without charge, object to the use and communication to third parties of his /her personal data for direct marketing purposes.

12.6. Retention of data

The data of the Users are retained for the time strictly necessary for their treatment. They are then deleted or made anonymous.


12.7. Right of access, rectification and opposition to treatment

The User is informed that, in accordance with the law, he/she has the right to object, to access, to rectify and to delete the personal data collected concerning him/her.

Any User may also consult or modify his personal data in his User account.


12.8. Data protection

Shiftmeapp shall take appropriate measures to protect Users’ personal data from loss, unauthorized access, publication and illegitimate processing. Together with its technical partners, Shiftmeapp observes rigorous protection measures of its system in order to protect the data of its Users.


Article 13. Commercial reference

Shiftmeapp reserves the right to quote the name of the Employer as a commercial reference in any form and medium known and unknown to date, worldwide, without limitation of duration, and in particular in the press, books, leaflets, fairs, exhibitions, advertisements, contests, on the Shiftmeapp website, social networks (Facebook, Twitter etc.), which the Employer expressly agrees to accept.

Shiftmeapp is prohibited from using the name of the Employer, which may infringe its privacy or reputation, or use this information in any racist, xenophobic medium and any other prejudicial exploitation.

The Employer also authorizes Shiftmeapp to reproduce, if it exists, its main logo (including if it is registered as a trademark), for a period of 10 years from its unsubscription from the Application and for the whole world given the cross-border nature of the Internet.

In no event shall Shiftmeapp use this company or business name or logo as a trademark.

The Employer shall not be entitled to any remuneration for the exploitation of the rights referred to herein.

The Employer may refuse to have its name quoted by written request to be sent by registered mail to Shiftmeapp’s registered office within a maximum period of 60 days following its registration with ShiftmeApp.


Article 14. Modification of the General Conditions

Shiftmeapp reserves the right to modify its General Conditions at any time.

The User will be informed of the nature of these modifications as soon as they are posted on the Application. The changes will come into force 15 days after their posting.


Article 15. Invalidity

The nullity or invalidity of any of these provisions does not lead to the invalidity of the other provisions which remain perfectly valid.


Article 16 – Waiver

The fact that one of the parties does not rely on a breach by the other party of any obligation referred to in these General Conditions cannot be interpreted in the future as a waiver of the obligation in question.


Article 17. Applicable Law

These Terms and Conditions are governed by Belgian law.

In the event that a dispute arises out of this contractual relationship, the Employer or the User and Shiftmeapp undertake, before any legal action, to seek an amicable solution.

Should the search for an amicable solution not be successful, any dispute relating to the validity, execution or interpretation of these General Conditions shall be the exclusive jurisdiction of the French language courts of Brussels.
